Terms of Service

1. About Citrus

Citrus is a trading name of Software Citrus Ltd, registered in England and Wales. We provide done-for-you customer growth systems ("the Service") to UK service businesses, built on third-party software platforms including HighLevel and supplemented by our own setup, management, and ongoing optimisation work.

2. The plans we offer

We currently offer three plans: Orange (£199/month), Lemon (£399/month), and Lime (£699/month). Each plan includes a one-off setup fee charged on signup (£199, £299, and £399 respectively).

The features included in each plan are described on our website and in your service agreement. We may add features, but we won't remove material features from your active plan without notice.

Ad spend (for Google Ads, Facebook Ads, and similar) is not included in any plan and is invoiced or billed separately based on your authorised budget.

3. Billing and payment

How billing works

• Plans are billed monthly in advance.
• Setup fees are billed once at signup.
• Payments are collected by direct debit (via GoCardless) or card payment (via Stripe).
• VAT is added at the prevailing UK rate where applicable.

Late payments

If a payment fails, we'll notify you and retry. If a payment remains unpaid for 14 days after due date, we may suspend the Service. Suspended accounts remain liable for outstanding fees.

Price changes

We may change our prices for new customers at any time. For existing customers, we'll give at least 30 days' written notice before any price increase, and you may cancel before the new price takes effect.

4. Setup and delivery

We aim to deliver setup within 10–14 days of you signing up and providing the information we need. The exact timeline depends on your responsiveness during onboarding (we'll ask for access to your existing tools, contact lists, branding, and so on).

We won't go live with any system until you've reviewed and approved it.

5. Your responsibilities

To get the best from Citrus, you'll need to:

• Provide accurate information about your business, customers, and existing tools.
• Respond to onboarding requests in a reasonable time.
• Comply with applicable laws when using the Service — including UK GDPR, PECR (for marketing messages), and your professional or regulatory obligations.
• Keep your account login details secure.
• Pay invoices on time.

6. Cancellation

All plans are rolling monthly with no minimum term. You can cancel at any time by giving us 30 days' written notice (email is fine).

When you cancel:

• You'll be billed one final time for the 30-day notice period.
• The Service runs as normal during the notice period.
• At the end of the notice period, automation stops firing, and we'll provide you with an export of your contacts and core data within 14 days of cancellation.
• Setup fees are non-refundable.

We may terminate your account with 30 days' notice for any reason, or immediately for material breach of these terms, illegal use of the Service, or non-payment.

7. Acceptable use

You agree not to use the Service to:

• Send unsolicited marketing messages (spam) or messages that breach PECR.
• Send misleading, deceptive, or fraudulent communications.
• Send content that is unlawful, defamatory, or infringes third-party intellectual property.
• Attempt to reverse engineer, copy, or resell the Service.
• Bypass or interfere with our security, rate limits, or fair-use thresholds.

We reserve the right to suspend or terminate accounts that misuse the Service.

8. Intellectual property

You own your data. All contacts, customer information, content, branding, and business data you provide remain yours. We process this data on your behalf as a data processor under UK GDPR.

We own our system. The Citrus name, brand, designs, templates, automations, and underlying methodology remain our intellectual property (or that of our underlying platform providers). You receive a non-exclusive licence to use them while your subscription is active.

Anything we create specifically for you (your custom landing pages, your branded templates, your custom automations) remains usable by you within the Citrus environment for the life of your subscription. If you cancel, you can export your contact data, but custom builds within the Citrus platform stop being accessible.

9. Service availability

We aim for high uptime on the customer-facing parts of the Service, but we rely on third-party platforms (HighLevel, Stripe, Google, Meta, telephone carriers) whose availability is outside our direct control.

We're not liable for downtime caused by third-party providers, scheduled maintenance with reasonable notice, force majeure events, or actions on your part (e.g., revoking integration access).

10. Limitation of liability

To the maximum extent permitted by law:

• We won't be liable for indirect, consequential, or special losses — including loss of profits, loss of business, loss of customers, loss of reputation, or loss of anticipated savings.
• Our total aggregate liability to you in any 12-month period is limited to the total amount you've paid us for the Service in that period.
• Nothing in these terms excludes liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be excluded under UK law.

11. Confidentiality

We treat your business information, customer data, and any non-public information shared with us as confidential. We won't share it with third parties except as needed to deliver the Service or as required by law.

12. Changes to these terms

We may update these Terms of Service from time to time. We'll notify active customers by email of any material changes at least 30 days before they take effect. Continued use after that date constitutes acceptance.

13. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
